A. TO BE A NEW ALLIANCE MEMBER OF PERFECTUS ALLIANCE :
Any practising law firm in China which intends to be a New Member of Perfectus Alliance (i.e. the Applicant) must possess the following criteria:

1. the Applicant must possess a valid licence of a practising law firm, issued by the Government of China, and must be in business continuously for five years.
2. the locality and area of practice of the new Member (in accordance with the judiciary territory of the local Intermediate People's Court) should not be in conflict with those of an existing Member.
3. the Applicant must also have the following:-
   1. a modern office equipped with requirements and hardwares to manage and serve through electronic network;
   2. a team of lawyers with diversfied experience practising in non-contentious work in fields; should have experience in serving out-of-country clients; (lawyers handling relevant work must be proficient in English);
   3. a well-established practice with internal management control system and scientific approaches in their business, operations, finance and human relations;
   4. team and co-operative spirit to provide professional team work;
   5. sound and good financial resources to operate business effectively;
   6. a sizeable operation in its locality.
4. the Applicant has not been punished for any offence relating to its practice.
5. the Applicant is fully committed to the ideals and philosophy of the Perfectus Allinace:
   1. agree to and accept the Aims of Perfectus Alliance;
   2. agree to accept the external image of the Alliance, its management and business guidance, accept all the terms and conditions as stipuated in the Alliance Agreement, and abide by the rules and regulations as laid down by the Alliance;
   3. willing to participate in the development and operation of the Alliance; execute the duties as assigned;
   4. actively join in the activities organised by the Alliance.

B. PROCEDURES TO APPLY FOR MEMBERSHIP

1. Nomination
   The Applicant for Perfectus Alliance membership must be nominated by an existing Member before being eligible to take part in the procedures for acceptance as a Member.
2. Acceptance as a Member
   The name of the Applicant, after being nominated, would be included in the meeting agenda for acceptance and voting as a Member of the Perfectus Alliance by 2/3 ( two-third) of the Alliance Members present at the meeting (the Members present at the meeting cannot be less than 50% of the total membership); proxies would be considered as Members present).
